These Terms and Conditions (these "Terms") govern your access to and use of the EasyBear platform, including our website(s), applications, and related services (collectively, the "Platform"). These Terms form a binding agreement between you and EasyBear, Inc. ("EasyBear", "Company", "we", "us", or "our").

PLEASE READ CAREFULLY. These Terms contain an arbitration agreement and a class action waiver in Section 18 that affect your legal rights.

If you do not agree to these Terms, do not use the Platform.


1. Service Model; Independent Service Professionals (Except Limited Payment Collection)

1.1 How Services Are Delivered

EasyBear arranges and facilitates in‑home appliance repair services performed by qualified independent service professionals (each, a "Technician"). In‑home repair, diagnostic, installation, and maintenance services are performed directly by Technicians.

1.2 Technician Is Merchant of Record

You acknowledge and agree that:

  • The Technician is the merchant of record and the sole seller/provider of the in‑home services you request and purchase (the "Services").
  • Any service contract for in‑home work is solely between you (the "Customer") and the Technician.
  • EasyBear is not a party to any service contract between you and a Technician and is not responsible for the Technician’s acts or omissions, except to the maximum extent that liability cannot be disclaimed under applicable law.

1.3 No Employment/Agency/Fiduciary Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or fiduciary relationship between EasyBear and any Technician. Technicians are independent businesses and are not EasyBear employees.

For payments, you also acknowledge that EasyBear may act as a limited payment collection agent for the Technician solely to accept payments from Customers on the Technician’s behalf, as further described in Section 8, and for no other purpose.


2. Definitions

  • "Services" means the in‑person diagnostic, repair, installation, or related services performed by a Technician.
  • "Charges" means the price for Services set by the Technician, plus applicable taxes and permitted amounts related to the Services.
  • "Platform Fees" means fees charged by EasyBear for Platform-related items (e.g., processing, support, administrative, dispute-handling, rescheduling, or cancellation fees), if any.
  • "Payment Processor" means a third‑party payment processor used to facilitate payments.
  • "Content" means text, photos, videos, messages, reviews, and other materials available on or through the Platform.
  • "User Content" means Content you submit, upload, publish, transmit, or otherwise make available on or through the Platform.

3. Eligibility; Accounts; Electronic Communications

3.1 Eligibility

You must be at least 18 years old (or the age of majority where you live) and have the legal capacity to enter into these Terms.

3.2 Account Registration

You may need an account to use certain Platform features. You agree to provide accurate and complete information and keep your account information current.

3.3 Electronic Communications

By using the Platform, you consent to receive communications from EasyBear electronically (e.g., email, in‑app notices). You agree that electronic communications satisfy any legal requirement that such communications be in writing.


4. Platform License; Restrictions; Third‑Party Services

4.1 Limited License

Subject to these Terms, EasyBear grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Platform for your personal or internal business use (for restaurants/property managers) consistent with these Terms.

4.2 Restrictions

You agree not to:

  • access or use the Platform in any way that violates applicable law;
  • reverse engineer, decompile, or attempt to derive source code;
  • interfere with security or operation of the Platform;
  • scrape, harvest, or misuse data, including Technician or Customer data;
  • use the Platform to send unsolicited communications;
  • engage in fraud or deceptive conduct.

4.3 Third‑Party Services

The Platform may integrate third‑party services (including Payment Processors). Your use of third‑party services may be subject to third‑party terms. EasyBear is not responsible for third‑party services.


5. Booking and Customer Responsibilities; Safety; Data

5.1 Information You Provide

When you request Services, you agree to provide accurate details about:

  • appliance type/model, symptoms, and history;
  • location, access instructions, and parking;
  • known hazards (gas, water leaks, electrical issues, pests, structural risks); and
  • any special requirements.

5.2 Safety and Site Conditions

You agree to:

  • provide safe, reasonable access to the service location;
  • disclose known hazards and unsafe conditions;
  • secure pets, valuables, and sensitive areas;
  • back up important data (for appliances/devices with data) and secure Wi‑Fi credentials unless required; and
  • follow reasonable safety instructions provided by the Technician.

You acknowledge that in‑person services can involve risks, including property damage, leaks, electrical hazards, fire hazards, personal injury, and loss of data.

5.3 Commercial Sites

For commercial customers (e.g., restaurants), you are responsible for ensuring your site complies with applicable safety and access requirements (including OSHA-like site practices where applicable) and for designating a responsible on‑site contact.


6. Technician Verification; No Safety or Quality Guarantee

EasyBear may, in its sole discretion, perform limited checks on some Technicians (e.g., identity verification, license/insurance document review, or background screening) where lawful and available. Any checks are limited and are not a guarantee of identity, safety, quality, licensing status, insurance coverage, or future conduct.

7. Pricing, Estimates, and “Junk Fee” Transparency

7.1 Technician Sets Pricing

Technicians set their own Charges. EasyBear does not set Technician Charges.

7.2 Estimates Are Not Guarantees

Any estimate shown on the Platform is informational only and may change based on diagnosis and Customer approval. The Technician must obtain your consent before performing work beyond the agreed scope or price.

7.3 Platform Fees

EasyBear may charge Platform Fees. If Platform Fees apply, EasyBear will disclose them before you confirm payment to the maximum extent practicable. Platform Fees may be non‑refundable unless required by law or stated otherwise.


8. Payments; Collection Agent; Taxes

8.1 Payment Facilitation; Limited Collection Agent

To facilitate payments, EasyBear may (through a Payment Processor) accept payments from Customers as the Technician’s limited payment collection agent. Customer payment to EasyBear (or its Payment Processor) is treated as payment to the Technician, as applicable under law and payment network rules.

8.2 Authorization for Payment Actions

You authorize EasyBear and the Payment Processor to:

  • store and charge your payment method for Charges and Platform Fees you approve;
  • process refunds/credits/chargeback adjustments where authorized by the Technician or required by payment network rules; and
  • share payment status and information necessary to complete the transaction.

8.3 Taxes

Technicians are responsible for taxes arising from their Services. Taxes displayed may be estimates. You are responsible for applicable taxes unless prohibited by law.


9. Cancellations, No‑Shows, and Rescheduling

Technicians may set cancellation and rescheduling terms (including fees) disclosed before booking. EasyBear may also apply Platform-level cancellation or rescheduling fees (disclosed before confirmation).

You agree that if you are not present, do not provide access, or otherwise cause a no‑show, the Technician may be entitled to fees and EasyBear may process them consistent with disclosed terms and payment rules.


10. Dispute Assistance and Platform Decisions (Discretionary)

EasyBear may (but is not obligated to) provide support, dispute intake, evidence collection, and workflow tools. EasyBear may, in its sole discretion, facilitate refunds, partial refunds, credits, booking adjustments, or other remedies by communicating with the Technician, instructing a Payment Processor, or otherwise.

Any assistance is discretionary, provided solely as a convenience, does not create a duty of care, and does not make EasyBear a party to the service contract between you and the Technician.

11. Warranties and Guarantees

11.1 Technician Warranty Only

Any warranty, guarantee, or service promise (including any “90‑day warranty”) is offered solely by the Technician who performed the Services, not by EasyBear. EasyBear is not the warrantor.

11.2 No Warranty by EasyBear

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYBEAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.


12. User Content; Reviews; License

You are responsible for User Content you submit. You grant EasyBear a worldwide, royalty‑free, sublicensable license to use, host, store, reproduce, modify, publish, and display User Content to operate, improve, and market the Platform, including for trust & safety and dispute management.

You agree not to post false, defamatory, infringing, or unlawful content. EasyBear may remove content at any time in its sole discretion.


13. Prohibited Conduct; Fraud; Chargeback Abuse

You agree not to:

  • provide false information, conceal hazards, or create unsafe conditions;
  • harass or discriminate;
  • misuse the Platform or attempt unauthorized access;
  • engage in fraud; or
  • engage in chargeback abuse, including disputing a charge after receiving Services without a good‑faith basis or using chargebacks to bypass Platform dispute tools.

14. Release; Assumption of Risk

To the maximum extent permitted by law, you assume all risks arising from Services performed by Technicians and release EasyBear and its officers, directors, employees, and agents from claims arising out of or relating to Services performed by Technicians, including property damage, personal injury, death, loss of data, or economic loss, except to the extent caused by EasyBear’s gross negligence or willful misconduct where such limitation is not permitted.


15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYBEAR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE PLATFORM OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYBEAR’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) $100 OR (II) THE TOTAL PLATFORM FEES (IF ANY) YOU PAID TO EASYBEAR IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those jurisdictions, the above limitations apply to the maximum extent permitted.


16. Indemnification

You agree to indemnify, defend, and hold harmless EasyBear and its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of law; or (d) disputes between you and any Technician.


17. Termination; Suspension

EasyBear may suspend or terminate your access to the Platform at any time, with or without notice, in EasyBear’s sole discretion, to the maximum extent permitted by law. Sections intended to survive termination will survive.


18. Dispute Resolution; Arbitration; Class Action Waiver

18.1 Informal Resolution

Before initiating arbitration, you agree to contact EasyBear to attempt to resolve the dispute informally by emailing legal@easybear-appliancerepair.com and describing the issue and desired resolution.

18.2 Binding Arbitration; FAA

Except for small claims matters and requests for injunctive relief to stop unauthorized use or intellectual property infringement, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this Section.

18.3 Delegation Clause

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable.

18.4 Class Action Waiver

YOU AND EASYBEAR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.

18.5 Arbitration Opt‑Out (Optional)

You may opt out of this arbitration agreement by sending an email to legal@easybear-appliancerepair.com within 30 days of first accepting these Terms, stating your name, the email/phone used on the Platform, and a clear request to opt out. Opting out will not affect other provisions of these Terms.

18.6 Venue; Fees; Rules

If the AAA rules require Company to pay certain fees, Company will do so. The arbitration may be conducted by phone/video unless in‑person is required.


19. Governing Law; Severability; Assignment; Entire Agreement

19.1 Governing Law

Except as preempted by the FAA, Delaware law governs these Terms, without regard to conflict‑of‑law principles, to the maximum extent permitted.

19.2 Severability

If any provision is held unenforceable, the remainder remains in effect.

19.3 Assignment

You may not assign these Terms without EasyBear’s consent. EasyBear may assign freely.

19.4 Entire Agreement

These Terms, plus any policies expressly incorporated, are the entire agreement between you and EasyBear regarding the Platform.
